Terms of Service / End-User License Agreement

These Terms of Service and End-User License Agreement (“Terms”) govern your access to and use of the CRM, business automation, AI-powered tools, websites, integrations, and related software and services provided by Falcon Flows (“Falcon Flows,” “we,” “our,” or “us”).
1. Acceptance of Terms
By visiting our website, creating an account, purchasing services, signing an order form, paying an invoice, or otherwise using Falcon Flows services, you agree to these Terms. If you are agreeing on behalf of a business, you represent that you have authority to bind that business.
2. Description of Services
Falcon Flows may provide:
- CRM software
- Business automation
- Websites and web applications
- AI-powered tools
- Lead management
- Scheduling
- Communication tools
- Reporting
- Third-party integrations
- Other custom business software and services
3. License
Subject to these Terms and payment of applicable fees, Falcon Flows grants you a limited, non-exclusive, non-transferable, revocable license to access and use the software and services during your authorized subscription or service period, solely for your internal business purposes.
Falcon Flows retains all ownership and intellectual property rights in its platform, software, systems, designs, templates, workflows, automations, and related materials, except for customer-owned data and materials.
4. Customer Data
Customers retain ownership of their business data. You authorize Falcon Flows to access, store, and process your data only as necessary to provide the services and functionality you request, and in accordance with our Privacy Policy.
5. Third-Party Integrations
Customers may connect third-party services, including Google Workspace and QuickBooks Online. You are responsible for authorizing these connections and for ensuring you have the authority to grant the access requested.
Falcon Flows is not responsible for outages, changes, restrictions, API changes, pricing changes, or discontinued functionality caused by third-party providers.
6. Google Integration
Users explicitly authorize requested Google permissions through Google’s OAuth process. Falcon Flows accesses Google data only within the scopes granted and only to deliver the features enabled. You may revoke authorization at any time through your Google Account permissions page or through available Falcon Flows integration controls.
7. QuickBooks Integration
QuickBooks connectivity is provided through Intuit’s APIs and OAuth authorization. Customers authorize Falcon Flows to access and perform actions on QuickBooks data only according to the permissions and features the customer enables.
Customers remain responsible for reviewing accounting records, transactions, invoices, tax information, financial reports, and other financial data. Falcon Flows software does not replace professional accounting, tax, or legal advice.
8. Customer Responsibilities
Customers are responsible for:
- Maintaining account security, credentials, and user access
- Providing accurate and current information
- Ensuring all use is authorized within their organization
- Reviewing automated actions where appropriate
- Maintaining appropriate backups where necessary
- Complying with applicable laws and regulations
9. Acceptable Use
You may not use the services for or in connection with:
- Illegal activity
- Unauthorized access to systems, accounts, or data
- Abuse of third-party APIs or violation of third-party terms
- Distribution of malware or harmful code
- Fraud or deceptive practices
- Attempts to circumvent security, rate limits, or access controls
- Misuse of customer or third-party data
10. AI and Automation
Automated and AI-generated outputs may contain errors, omissions, or inaccuracies. Customers should review important business, financial, legal, or customer-facing outputs before relying on them or sending them to third parties.
11. Fees and Subscriptions
Applicable pricing, subscriptions, setup fees, usage charges, and payment terms are presented in the applicable order, proposal, agreement, or service plan. Unless otherwise stated, fees are non-refundable and subscriptions renew according to their stated term.
12. Service Availability
Falcon Flows strives to maintain reliable service, but does not guarantee uninterrupted or error-free availability. Maintenance, updates, and third-party dependencies may affect availability.
13. Termination
Falcon Flows or the customer may terminate services according to the applicable agreement or subscription terms. We may suspend or terminate access for non-payment or violation of these Terms. Upon termination, access to certain software, hosting, or integrations may cease.
14. Disclaimers
Except as expressly stated in a signed agreement, the services are provided “as is” and “as available” to the fullest extent permitted by applicable law. Falcon Flows makes no guarantees regarding revenue, business results, lead generation, accounting accuracy, search rankings, or uninterrupted availability.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Falcon Flows will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. Falcon Flows’ total aggregate liability arising out of or relating to the services will not exceed the amounts paid by the customer to Falcon Flows for the services in the twelve (12) months preceding the event giving rise to the claim.
16. Indemnification
You agree to indemnify, defend, and hold harmless Falcon Flows and its officers, employees, and contractors from and against claims, damages, liabilities, losses, and reasonable expenses arising out of your misuse of the services, unlawful activity, infringement of third-party rights, or violation of these Terms.
17. Changes to These Terms
Falcon Flows may update these Terms from time to time. The latest effective date is shown at the top of this page. Continued use of the services after an update constitutes acceptance of the revised Terms.
18. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, unless an existing signed Falcon Flows agreement specifies otherwise. Venue for any dispute lies in the state or federal courts located in Florida.
